Corporate Counsel

Location: Hybrid, with three days onsite weekly at the Corporate HQ in Andover, Massachusetts; candidates must be within commuting distance and eligible to work in the United States.

Salary: $155,250–$258,750 annual base salary, plus eligibility for a discretionary annual bonus.

hirify.global is a large international corporation with a global Legal Department supporting corporate and securities matters.

What you will do

• Prepare and review SEC and '34 Act filings, including proxy statements, Form 10-K, Form 10-Q, Form 8-K, and Section 16 filings.
• Advise on investor relations communications, including earnings releases, scripts, and presentations.
• Support board, committee, corporate secretarial, executive compensation, and equity plan matters.
• Support debt and equity offerings, internal tax reorganizations, and other corporate finance initiatives.
• Manage global subsidiaries, cash repatriation, and intercompany agreements.
• Support M&A transactions, including antitrust regulatory work, while collaborating with Finance, Tax/Treasury, Investor Relations, and Human Resources.

Requirements

• BA/BS and JD from an accredited law school.
• 5+ years of focused experience in securities and corporate governance matters at a large law firm or public company.
• Licensed member of at least one state bar.
• Strong knowledge of public company reporting, disclosure, and compliance obligations.
• Excellent communication, organization, multitasking, analytical, and legal writing skills.
• Eligible to work in the United States; visa sponsorship is not available.
