Director, Legal — AI/GPU Commercial

Salary: $185,709–$272,373 USD per year, depending on geographic market, knowledge, skills, and experience. Additional compensation may include annual bonuses or incentives, equity awards, and an Employee Stock Purchase Plan.

What you will do

• Lead commercial counsel for GPU-as-a-service, bare-metal, and AI infrastructure offerings.
• Draft and negotiate solution terms, product terms, master service agreements, and order forms with enterprise customers and strategic partners.
• Advise Sales and Sourcing on GPU and AI capacity transactions, including hyperscaler and OEM reservations, colocation, semiconductor backstop agreements, and power and infrastructure arrangements.
• Monitor and advise on export controls, advanced-computing regulation, data sovereignty, and AI-specific commercial risks.
• Support AI/GPU infrastructure M&A, strategic partnerships, investments, diligence, deal structuring, and integration.
• Develop legal playbooks, templates, and self-service tools for standard GPU/AI commercial terms.

Requirements

• J.D. from an ABA-accredited law school and an active license to practice law in at least one U.S. jurisdiction, in good standing.
• 8+ years of post-bar experience in commercial or transactional practice, including substantial technology, cloud, or data infrastructure transactions.
• Deep knowledge of commercial contracting for cloud and IaaS/SaaS transactions.
• Working knowledge of U.S. export control regimes for advanced computing and semiconductor technology, including EAR, BIS, and RASA.
• Familiarity with privacy and data protection frameworks for AI training, inference, and GPU compute environments.
• Strong cross-functional judgment, executive-level communication, and the ability to work independently with minimal supervision.

Nice to have

• In-house experience at a hyperscaler, neocloud or GPU cloud provider, semiconductor company, or AI infrastructure company.
• Additional experience in export control, data privacy, or M&A matters.
• Experience negotiating equipment financing, lease, offtake, sale-leaseback, or off-balance-sheet financing structures.
• Knowledge of M&A and strategic transaction structuring involving complex financing arrangements.
