TL;DR
In-House Corporate Contract Attorney (Healthcare) (Payer/provider, MSO, HIPAA): Drafting, reviewing, and negotiating commercial agreements that support healthcare services and provider relationships with an accent on payer/provider arrangements, MSO structures, and HIPAA/BAA contracts. Focus on translating healthcare regulatory requirements into practical guidance, managing risk allocation, and building scalable contract templates and workflows.

Location: Hybrid in Las Vegas, Nevada; Charlotte, North Carolina; or Denver, Colorado, United States. Collaboration with teams in Las Vegas and/or Charlotte time zones is required.

What you will do

  • Draft, review, negotiate, and manage commercial agreements, including payer/provider arrangements and reimbursement or value-based agreements.
  • Structure and negotiate MSO relationships, management services agreements, clinical alignment models, PC-MSO structures, schedules, and statements of work.
  • Draft and negotiate Business Associate Agreements and other HIPAA-regulated data-sharing and services contracts.
  • Partner with operations, provider relations, compliance, finance, and leadership to structure deals and manage risk.
  • Provide practical guidance on contract interpretation, risk allocation, obligations, and dispute prevention.
  • Develop contract templates, playbooks, and workflows while advising on HIPAA, Stark/AKS, Medicare/Medicaid, licensing, and payor rules.

Requirements

  • J.D. from an accredited law school and active bar membership in good standing.
  • 4+ years of relevant healthcare law and/or corporate or commercial contracting experience in-house or at a law firm.
  • Ability to independently draft and negotiate complex contracts end-to-end.
  • Strong knowledge of indemnification, limitation of liability, regulatory representations and warranties, termination, and data-use provisions.
  • Experience with payer/provider contracting, MSO and PC-MSO structures, and BAAs or HIPAA-related agreements.
  • Ability to explain legal concepts clearly to non-lawyers and work effectively with teams in the required time zones.
