Director Legal Counsel, Corporate Treasury (Financial Services)

Location: Westlake, Texas, United States; onsite work required. Applicants must be currently authorized to work in the United States without employer sponsorship.

Salary: USD $180,000–$280,000 per year, plus eligibility for bonus or incentive opportunities.

What you will do

• Provide strategic legal guidance to Corporate Treasury on securities financing transactions, funding management, liquidity, capital optimization, netting, derivatives hedging, and treasury clearing.
• Draft, review, and negotiate securities lending, repurchase, forward transaction, FCM, and ISDA master agreements and related documentation.
• Maintain standard master agreement forms, schedules, annexes, and term confirmations.
• Review credit agreements, margin loan facilities, bank account, custody, clearing, and intercompany lending documents.
• Review Treasury policies and procedures and advise on margin, broker-dealer, securities, banking, and financial services regulations.
• Monitor legal and regulatory developments and translate them into practical guidance for Treasury management and stakeholders.

Requirements

• Juris Doctor degree from an accredited U.S. law school.
• Admission to and good standing with the state bar of at least one U.S. state.
• 10+ years of experience supporting treasury, banking, broker-dealer, or financial services organizations.
• Experience negotiating securities lending, repurchase, forward transaction, and derivatives-related agreements.
• Knowledge of applicable securities, banking, and financial services laws and regulations.
• Strong communication, collaboration, judgment, prioritization, and practical problem-solving skills.

Nice to have

• Experience advising Corporate Treasury within a large financial institution.
• Experience with liquidity management, funding programs, capital optimization, securities financing transactions, or derivatives activities.
• Experience working across legal, risk, compliance, finance, and Treasury functions.
