Corporate Counsel (Banking)

Location: Pittsburgh, Pennsylvania, United States; onsite at 626 Washington Place

What you will do

• Review, draft, negotiate, and advise on complex commercial, securities-based lending, escrow, tri-party, international, FX, and public finance transaction documents.
• Review and enforce vendor contracts, licensing agreements, deeds, leases, and other material agreements.
• Provide practical legal advice on banking, commercial, compliance, regulatory, risk, employment, and benefits matters.
• Support litigation management, prepare pleadings and other litigation documents, and communicate with outside counsel.
• Conduct legal research and support the development and maintenance of Legal Department policies and procedures.
• Participate in due diligence for potential acquisition transactions and support business leaders and senior management.

Requirements

• Juris Doctor degree and at least 5 years of related legal experience.
• Attorney license required.
• Experience in a general legal field; banking legal experience preferred.
• Strong understanding of applicable compliance laws and regulations.
• Excellent project management, communication, organizational, analytical, interpersonal, and customer service skills.
• Must be legally authorized to work in the United States; employment-based visa sponsorship is not provided.
