Associate General Counsel - Mutual Funds

Location: New York, NY, United States; hybrid work arrangement

Salary: $200,000–$225,000 per year, plus discretionary bonus and comprehensive benefits.

hirify.global is an investment management firm supporting a U.S. registered fund business that includes mutual funds, exchange-traded funds, and closed-end funds.

What you will do

• Provide legal advice on structuring and maintaining registered investment vehicles, including preparing and reviewing registration statements.
• Advise portfolio managers, marketing and sales teams, and other internal clients on legal and regulatory matters.
• Prepare materials for boards of trustees and directors on routine and ad hoc legal and compliance matters.
• Draft and negotiate investment management, intermediary distribution and servicing, nondisclosure, and service-provider agreements.
• Monitor regulatory developments and support implementation of new rules and regulations.
• Review marketing materials, client communications, information requests, and requests for proposals while managing multiple priorities.

Requirements

• Bachelor’s degree and JD.
• Membership in the New York State Bar, or ability to waive in.
• At least five years of experience with U.S. registered funds and the Investment Company Act of 1940 at a major U.S. law firm or in-house legal department.
• Required experience with mutual funds and the 1940 Act.
• Ability to work independently, recognize when guidance is needed, and communicate effectively with senior management.
• Must be authorized and have the right to work in the United States without current or future sponsorship.

Nice to have

• Experience working with boards of trustees or directors of U.S. registered products.
• Experience supporting intermediary relationships for U.S. registered products.
