Corporate Counsel, M&A (AI)

Location: San Francisco, New York City, or Seattle; at least 3 days per week in one of these offices

Annual salary: $265,000–$335,000 USD

What you will do

• Lead legal workstreams for acquisitions, acquihires, minority investments, joint ventures, and other strategic transactions from diligence through closing and integration.
• Draft, review, and negotiate letters of intent, purchase agreements, ancillary agreements, and closing documents.
• Coordinate cross-functional due diligence and third-party advisors.
• Advise on deal structure, risk allocation, purchase price mechanics, indemnification, and other transaction terms.
• Prepare transaction materials for executive leadership and the Board when needed.
• Build M&A playbooks, templates, and standardized processes while supporting post-closing integration and other corporate matters.

Requirements

• JD from an accredited law school and active membership in at least one U.S. state bar.
• Experience drafting and negotiating M&A transaction documents.
• Deep knowledge of stock purchases, asset purchases, mergers, acquihires, minority investments, and joint ventures.
• Experience with domestic and cross-border transactions.
• Experience advising technology companies and startups on their legal issues.
• Ability to work from the San Francisco, New York, or Seattle office at least 3 days per week.

Nice to have

• 5–8 years of M&A legal experience at a nationally recognized law firm or high-growth technology company.
• Experience with public company securities law, SEC reporting, and equity compensation in transactions.
• Experience with AI, machine learning, or other emerging technology companies.
• Experience building M&A playbooks, templates, or processes on a lean team.
• Strong analytical, drafting, negotiation, communication, and project management skills.
