Corporate Counsel, M&A

Location: Hybrid; must be able to work from the San Francisco, New York City, or Seattle office at least 3 days a week. Staff are generally expected to work from an Anthropic office at least 25% of the time.

Annual salary: $265,000–$335,000 USD.

What you will do

• Lead legal workstreams for acquisitions, acquihires, minority investments, joint ventures, and other strategic transactions from due diligence through closing and post-closing integration.
• Draft, review, and negotiate letters of intent, purchase agreements, ancillary agreements, and closing documentation.
• Coordinate due diligence across internal functions and third-party advisors.
• Advise on deal structuring, risk allocation, purchase price mechanics, indemnification, and other transaction terms.
• Prepare transaction materials for executive leadership and, when needed, the Board, while managing outside counsel relationships, staffing, budgets, and work-product quality.
• Build standardized M&A processes, playbooks, and templates and support other corporate matters.

Requirements

• Law degree (JD, LLB, or equivalent) and eligibility to meet local licensing requirements for in-house counsel where based.
• Experience drafting and negotiating M&A transaction documents, including letters of intent, purchase agreements, and ancillary closing documentation.
• Deep understanding of stock purchases, asset purchases, mergers, acquihires, minority investments, and joint ventures.
• Experience with both domestic and cross-border transactions.
• Experience advising technology companies and startups on their legal issues.
• Minimum education: bachelor’s degree or equivalent combination of education, training, and experience; the field must be relevant to the role through coursework, training, or professional experience.

Nice to have

• 5–8 years of M&A legal experience at a nationally recognized law firm and/or in-house at a high-growth technology company.
• Experience with public company securities law compliance, SEC reporting, and equity compensation matters in deal contexts.
• Experience with AI, machine learning, or other emerging technology companies.
• Experience building M&A playbooks, templates, or processes on a lean team.
• Exceptional analytical, drafting, negotiation, and communication skills, including the ability to translate complex legal issues into clear, practical advice.
• Ability to manage multiple transactions and priorities in a fast-paced, dynamic environment, work independently with minimal supervision, and collaborate with internal and external stakeholders at all levels.
