Managing Legal Counsel – Corporate Governance and M&A

Location: Owings Mills, Maryland, United States; hybrid work with up to one day per week from home.

Base salary for Maryland: $174,000–$297,000 annually. Employees may also be eligible for a discretionary bonus.

What you will do

• Provide legal and business advice on mergers, acquisitions, divestitures, and other strategic transactions.
• Lead transactions from a legal perspective, including negotiations, diligence, and coordination across legal and compliance subject-matter experts.
• Advise on SEC filings, including Form 10-K and proxy statements, and assess new disclosure requirements.
• Advise and assist with meetings of the company’s boards of directors.
• Develop corporate governance policies, legal controls, and best practices for board reporting.
• Retain, manage, and review the work of outside counsel while mentoring less experienced legal professionals.

Requirements

• Law degree from an accredited law school.
• Admission to the Maryland State Bar or another state bar.
• 10+ years of relevant professional experience.
• In-depth knowledge of corporate governance laws and practices, including experience serving as lead counsel in similar transactions.
• Complex M&A experience, including leading transactions as primary counsel.
• Knowledge of US public company reporting requirements.

• Specialized knowledge of global corporate governance and M&A laws from law firm and in-house experience.
• Knowledge of Maryland and international corporate laws.
• Experience influencing stakeholders, managing conflicts, and collaborating with diverse internal and external contacts.
