TL;DR
Assistant General Counsel (Commercial, Employment & Compliance): Advising a global electronic-components distribution business across commercial contracts, employment matters, compliance, investigations, corporate governance, and operational legal issues with an accent on contract negotiation, risk management, and international operations. Focus on drafting complex business agreements, conducting internal investigations, supporting trade compliance and export controls, and coordinating disputes and outside counsel.

What you will do
- Draft, review, and negotiate customer, supplier, distribution, services, NDA, and other commercial agreements.
- Advise sales, procurement, operations, finance, HR, compliance, and executive leadership on contracts, risk allocation, disputes, and operational legal matters.
- Support employment matters, internal investigations, compliance initiatives, and corporate governance activities.
- Advise on trade compliance, sanctions, export controls, anti-corruption, data privacy, supply chain, logistics, warranties, and international operations.
- Manage or support claims, subpoenas, litigation holds, pre-litigation matters, and coordination with outside counsel.
- Develop contract templates, legal playbooks, compliance policies, investigation protocols, and training materials.
Requirements
- Juris Doctor degree from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction and in good standing.
- At least 6 years of relevant legal experience.
- Strong commercial contract drafting, review, negotiation, and issue-spotting skills.
- Experience with corporate, commercial, employment, compliance, or investigations-related matters.
- Ability to provide practical, risk-based advice and manage multiple priorities in a fast-paced global business environment.
Nice to have
- Prior in-house counsel experience.
- Experience advising HR, conducting internal investigations, managing outside counsel, or supporting international operations.
- Experience in distribution, supply chain, technology, electronics, manufacturing, or similar industries.
- Familiarity with trade compliance, export controls, sanctions, anti-corruption, data privacy, and employment law.
