Senior Commercial Counsel

What you will do

• Draft, review, and negotiate complex commercial agreements, including supplier, vendor, SaaS, real estate, intellectual property, marketing, carrier, and agent agreements.
• Maintain contract checklists, templates, and playbooks based on industry best practices.
• Advise business stakeholders on contractual, legal, corporate, governance, and pre-litigation matters.
• Support CLM system implementation and customization, including AI-assisted contract review and workflow improvements.
• Manage entity matters for more than 200 subsidiaries, including acquisition integration and inactive-entity wind-downs.
• Coordinate annual corporate insurance renewals and assist with M&A overflow, policy reviews, and outside counsel collaboration.

Requirements

• Juris Doctor degree from an accredited law school with excellent academic credentials.
• Active license and good standing with the State Bar of Texas or another state bar.
• At least 7 years of transactional legal experience in a law firm and/or in-house environment.
• Extensive experience drafting, reviewing, and negotiating commercial agreements.
• Knowledge of contract law, confidentiality, data security, privacy, and intellectual property; insurance industry and HIPAA knowledge is preferred.
• Strong business judgment, communication, organization, attention to detail, and ability to manage multiple priorities.

• Experience with contract lifecycle management software and AI-assisted legal review.
• Familiarity with insurance industry requirements and HIPAA regulations.
