Legal Counsel (Corporate and Technology) (AI)

Location: Boston and Hingham, Massachusetts

Salary: $122,940–$150,260 annually, plus eligibility for variable pay.

What you will do

• Draft and negotiate complex vendor and commercial agreements, including IT infrastructure, software licensing, SaaS, cloud, consulting, and service agreements.
• Provide legal support for investment due diligence, banking agreements, corporate governance, and corporate functions.
• Draft and negotiate confidentiality, nondisclosure, data use, PHI, and PII-related agreements.
• Advise on procurement and deployment of AI tools, including vendor risk assessment, responsible AI governance, algorithmic bias, transparency, and emerging AI regulations.
• Support compliance with HIPAA, state health data privacy laws, and data breach notification requirements.
• Identify legal risks, advise business stakeholders, review communications, and contribute to AI and legal operations initiatives.

Requirements

• JD degree from an ABA-accredited law school.
• Active membership in good standing of the Massachusetts Bar.
• 3–5 years of relevant technology and/or corporate law experience in an in-house legal department.
• Demonstrated experience drafting and negotiating complex technology and commercial agreements, including SaaS, software licensing, IT infrastructure, and professional services agreements.
• Strong corporate law knowledge, communication skills, business judgment, organization, prioritization, and independent problem-solving abilities.

Nice to have

• Familiarity with AI laws, regulations, and emerging AI governance frameworks.
• Interest in developing expertise in privacy and data protection laws, including HIPAA and Massachusetts identity theft law.
• Experience managing or coordinating with outside counsel.
• Experience collaborating with business leaders and building trust across the organization.
