Senior Legal Counsel (Technology and Procurement, AI)

Location: Chicago, IL, United States; hybrid work between the office and home

Salary: $160,100–$272,300 USD per year base pay, plus a discretionary bonus program that may include equity.

What you will do

• Provide legal advice on technology procurement, SaaS, software licensing, cloud, managed services, data licensing, distributed ledger technology, APIs, and client-facing technology products.
• Support the responsible adoption of vended AI tools in line with legal, regulatory, client, and supervisory expectations.
• Draft and update technology contract templates, playbooks, terms of use, and other terms and conditions for enterprise use.
• Lead negotiations for complex license agreements, reseller agreements, strategic transactions, and other corporate development arrangements.
• Collaborate with Data Privacy, Information Security, Risk, Compliance, Tax, engineers, product teams, business units, and legal teams across jurisdictions.
• Advise technology committees and working groups and monitor regulatory developments affecting procurement and technology initiatives.

Requirements

• J.D. degree from an accredited law school and admission to practice in the jurisdiction where the position is located.
• At least 10 years of relevant experience at a nationally recognized law firm and/or in-house legal department.
• Independent experience drafting, negotiating, and reviewing technology contracts, including software licenses, SaaS agreements, managed services, on-premise agreements, and distributed ledger technology agreements.
• Experience analyzing legal and regulatory requirements affecting contracts and cloud data arrangements, preferably in the financial industry.
• Strong legal analysis, practical problem-solving, communication, relationship management, and collaboration skills.
• Must be authorized to work in the United States without employment-based visa sponsorship now or in the future.

Nice to have

• Experience in a regulated or financial services industry.
• Familiarity with FRB SR23-4, PRA SS2/21, GDPR, CCPA, DORA, and the EU AI Act.
• Current knowledge of existing and upcoming regulations affecting banking.
