Senior Corporate Counsel (m/f/d)

Location: Sevenum, Netherlands; full-time office-based role

What you will do

• Advise on Dutch and German corporate law, governance, and regulatory requirements.
• Support corporate housekeeping, entity management, and group structuring activities.
• Develop and maintain corporate governance policies, procedures, legal templates, and documentation.
• Prepare annual reporting materials, shareholder communications, annual general meeting documentation, and board meeting materials.
• Maintain the corporate calendar, coordinate meetings, and track follow-up actions.
• Monitor legal developments, assess risks, recommend mitigation measures, and improve governance and compliance frameworks.

Requirements

• Academic degree in Law.
• At least 4 years of relevant experience in Dutch corporate law and corporate governance.
• Fluency in English, written and spoken.
• Experience managing projects involving new legal and regulatory requirements.
• Strong communication and stakeholder management skills, with integrity, discretion, confidentiality, and a pragmatic business-oriented approach.
