Senior Legal Counsel - Corporate Law and Finance (m/f/d) (Renewable Energy)

Location: Berlin, Germany; based at the Berlin headquarters

hirify.global develops utility-scale renewable energy projects, including photovoltaic, wind, and battery energy storage systems, primarily in OECD markets.

What you will do

• Advise on legal and commercial aspects of domestic and cross-border M&A transactions, joint ventures, and corporate governance.
• Lead transaction structuring with Tax, Accounting, Treasury, and other business functions.
• Draft, review, and negotiate term sheets, transaction documents, loan agreements, credit facilities, and security documentation.
• Prepare corporate approvals, management and shareholder materials, and transaction documentation.
• Coordinate legal workstreams through signing and closing, including satisfaction of conditions precedent.
• Advise on debt compliance, financial covenants, liability management, guarantees, bonding facilities, and project financings.

Requirements

• Fully qualified lawyer admitted in Germany (Volljurist/in) or holding an equivalent international legal qualification.
• At least 6 years of relevant experience in corporate law, M&A, and financing, preferably in an international law firm or in-house legal function.
• Strong experience with cross-border M&A transactions, joint ventures, group financing, credit facilities, and security documentation.
• Strong drafting, negotiation, analytical, and commercially minded problem-solving skills.
• Experience managing external counsel and guiding paralegals or junior legal team members.
• Fluent business English and required German language skills.

• Experience with financing and security documentation, bonding or guarantee facilities.
• Experience in renewable energy, infrastructure, or the energy sector.
