TL;DR
Technology M&A Due Diligence Manager (Technology Transactions): Leading client-facing due diligence engagements and evaluating technology transaction impacts with an accent on IT cost analysis, business applications, and post-close integration or separation. Focus on building financial models, assessing application and infrastructure entanglements, pricing Transition Service Agreements, and delivering executive-level transaction insights.

Location: Chicago, United States

Salary: $119,100–$239,300 per year, plus discretionary performance-based bonus.

What you will do

  • Lead client-facing technology M&A due diligence engagements, meetings, project timelines, deliverables, and budgets.
  • Build and analyze IT cost models covering cost synergies, Transition Service Agreement replacement, run-rate costs, vendors, and one-time expenses.
  • Assess business applications such as ERP, CRM, and HRIS against business and industry requirements, including capabilities, modules, and pricing.
  • Lead technology workstreams across applications, infrastructure, and cybersecurity during post-close integration or separation engagements.
  • Identify entanglements across people, processes, technology, assets, and contracts between the parent company and NewCo.
  • Produce diligence reports and executive-level readouts supporting transaction closing discussions with private equity and strategic clients.

Requirements

  • Bachelor’s degree.
  • 6–11 years of professional experience.
  • Experience working in client-facing consulting engagements.
  • Ability to travel moderately to frequently, depending on engagement needs.
  • Flexibility to work according to transaction timelines, including increased workload during diligence and transaction periods.

Nice to have

  • Experience supporting private equity or strategic transaction clients.
  • Experience leading technology diligence or post-close initiatives.
  • Master’s degree.
  • Progress toward relevant professional certification.
