Staff Counsel - Litigation & Contracts (Litigation/Commercial Contracts): Managing litigation matters and drafting, reviewing, and negotiating Master Service Agreements and other commercial contracts with an accent on dispute analysis, outside counsel coordination, and transactional legal guidance. Focus on investigating pre-litigation disputes, preparing discovery and depositions, responding to subpoenas, and advising business units on legal risk.
Location: Midland, Texas, United States. Relocation assistance is available. Employment visa sponsorship is not currently available.

What you will do
- Support disputes and litigation matters, including pre-litigation investigations and risk analysis.
- Partner with outside counsel by coordinating strategy, gathering documentation, and assisting with discovery and deposition preparation.
- Evaluate and recommend dispute-resolution options and respond to subpoenas and related legal requests.
- Draft, review, and negotiate Master Service Agreements, information technology agreements, accounting agreements, equipment leases, and other commercial contracts.
- Provide legal guidance to departments on transactional and commercial matters.
- Assist with outside counsel relationships, legal services management, and special projects.
Requirements
- Juris Doctor degree from an accredited law school with strong academic credentials.
- Active admission to a state bar and eligibility to practice in-house in Texas.
- At least five years of legal practice in a law firm, governmental agency, or in-house legal department.
- Ability to understand business and operational functions and advise on litigation risk.
- Demonstrated ability to draft, review, and negotiate legal documents effectively.
