Director, Securities Counsel (AI Infrastructure)

Location: New York; must be based in the United States

Salary: $210,000–$340,000 USD base salary, plus potential bonus, equity, and/or commission.

What you will do

• Own the legal accuracy, quality, and timeliness of quarterly, periodic, and annual SEC filings, including 10-K, 10-Q, 8-K, and proxy statements.
• Draft and review risk factor disclosures, financial statement disclosures, and other filing content for SEC compliance.
• Provide legal review and sign-off on Finance-led filings and coordinate reporting inputs across Finance, Investor Relations, Communications, Rewards & Benefits, and other functions.
• Partner with SOX teams to support compliance controls and reporting requirements.
• Monitor the regulatory calendar and regulatory developments, advising the business on securities law, filing practices, and disclosure requirements.
• Support equity and debt capital markets transactions, including registered offerings, private placements, and convertible notes.

Requirements

• Qualified attorney with a JD or equivalent, licensed to practice in the US; New York bar membership preferred.
• At least 5 years of experience as a US securities lawyer.
• Significant experience with US securities law, SEC reporting, Securities Act and Exchange Act matters, and public company disclosures.
• Experience working within or alongside a SOX compliance framework.
• Strong interpersonal skills, attention to detail, ownership, and ability to work with senior cross-functional stakeholders.
• Must be based in the United States.
