Director, Corporate Legal

Location: Hybrid, based in San Francisco or New York, United States

Salary: $250,000–$340,000 annual base pay, plus potential equity and bonus

What you will do

• Lead private-company fundraising and financing transactions, including term sheets, definitive agreements, due diligence, negotiation, and closing.
• Partner with Corporate Development and Investor Relations on fundraising strategy, investor diligence, disclosures, data rooms, investor rights, and governance.
• Lead domestic and cross-border M&A and strategic transactions, including acquisitions of licensed fintech entities.
• Structure secondary sales and private-company liquidity programs for shareholders, employees, and early investors.
• Advise on corporate governance, reorganizations, capital raising, board matters, and global entity structures.
• Manage external counsel and build scalable transaction processes, playbooks, templates, approval frameworks, and LegalTech and AI tooling.

Requirements

• U.S. legal qualification or foreign equivalent and an active license to practice in at least one U.S. jurisdiction.
• 10+ years of experience in an in-house legal department and/or private practice advising on private-company financing and M&A.
• Extensive experience drafting and negotiating equity financing, M&A, joint venture, and secondary-sale documentation.
• Strong knowledge of U.S. corporate and securities law for private companies, fundraising, secondary transactions, and governance.
• Ability to advise senior executives, investors, and cross-functional stakeholders with commercially grounded, risk-balanced guidance.
• Excellent drafting, negotiation, analytical, and project-management skills, with the ability to manage multiple complex transactions.

Nice to have

• Experience in high-growth technology, fintech, payments, or financial services, including cross-border structures and licensed entities.
• Top-tier law firm and in-house experience, ideally in a late-stage growth or pre-IPO company.
• Experience with secondary programs, tender offers, or structured liquidity solutions.
• Experience collaborating with regulatory, compliance, product legal, data privacy, and risk teams.
• Experience building legal operations, transaction processes, playbooks, templates, or tooling for a global organization.
