Counsel, Corporate and Joint Ventures

Location: Burbank, California, USA; office attendance five days per week with up to three flexible remote days per month

Base pay range: $185,000–$200,000 per year.

What you will do

• Support joint ventures through counterparty interactions, entity maintenance, investor actions, agreement interpretation, and negotiation.
• Advise on hirify.global’s operating partnership, including partnership amendments, investor admissions, transfers, redemptions, and LTIP equity awards.
• Support corporate governance, Board matters, governance policies, SEC reporting, and annual proxy statement processes.
• Assist with debt and equity issuances, ATM programs, revolving credit facilities, commercial paper, and other capital markets activities.
• Support strategic investments, M&A, due diligence, legal research, and contract review and negotiation.
• Manage outside counsel and collaborate with Legal, Acquisitions, Tax, Investor Services, Corporate Finance, HR, and other departments.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in good standing of the California or Texas bar, or eligibility for registered in-house counsel status.
• 3–5 years of experience in general corporate, securities, and/or M&A law, with foundational law firm training.
• Experience with joint ventures, securities, and M&A.
• Strong analytical, problem-solving, written, verbal, interpersonal, and relationship-building skills.
• Proficiency with legal research tools and Microsoft Office Suite, with the ability to manage confidential information and multiple deadlines.

Nice to have

• Prior in-house legal experience.
• Experience with REITs.
