Senior Corporate Counsel (Securities)

What you will do

• Advise the company on SEC regulations, securities law, and corporate governance initiatives.
• Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings, as well as public disclosures.
• Monitor regulatory developments and advise on their potential business impact.
• Partner with finance, treasury, tax, investor relations, corporate communications, and compliance stakeholders.
• Support M&A, financings, capital markets transactions, banking matters, and other corporate legal work.
• Oversee domestic and international subsidiary governance and advise senior business leadership.

Requirements

• Juris Doctor degree from an accredited law school.
• Licensed and in good standing with at least one state bar, with eligibility for admission on motion in Delaware.
• 6+ years of relevant experience, including strong training at a national or international law firm.
• Deep understanding of federal and state securities laws, corporate law, and stock exchange listing requirements.
• Extensive experience drafting and reviewing SEC filings and strong executive-level communication skills.
• Ability to work independently, manage competing deadlines, and collaborate in a fast-paced environment.
