Senior Counsel - Mergers & Acquisitions and Commercial

Location: Hybrid, with three days per week in the Radnor, Pennsylvania office

What you will do

• Lead and support contract review for mergers, acquisitions, and divestitures.
• Advise internal business teams on commercial, strategic, and contract negotiation matters.
• Draft, negotiate, and review commercial contracts for multiple business units.
• Interpret contractual provisions, assess legal and business exposure, and help ensure compliance with contract terms.
• Advise leadership on breach matters, claims, and disputes while supporting commercial settlements and litigation avoidance.
• Maintain contract templates, monitor regulatory changes, train personnel on contract practices, and collaborate with external counsel.

Requirements

• Juris Doctor degree from an accredited law school.
• Active law license in at least one U.S. state and willingness to obtain a Pennsylvania Limited In-House Corporate Counsel License.
• At least six years of relevant experience, including strong expertise in mergers and acquisitions and complex commercial matters.
• Excellent communication, organizational, analytical, interpersonal, and problem-solving skills.
• Ability to manage multiple priorities independently and travel occasionally.
• Working knowledge of Microsoft Office and Google Workspace.
