TL;DR
Senior Commercial Counsel (M&A/Commercial Law): Supporting North American commercial transactions and compliance matters, including complex contracts, mergers and acquisitions, joint ventures, and regulatory filings with an accent on transactional structuring, negotiation, and antitrust review. Focus on leading M&A processes, managing legal resources and costs, advising senior business stakeholders, and resolving commercial disputes.

Location: Allentown, Pennsylvania, United States; periodic remote work flexibility is available.

What you will do

  • Lead all phases of mergers and acquisitions, including due diligence, deal structuring, negotiation, documentation, signing, and closing.
  • Draft, review, and negotiate complex transaction documents, including purchase and sale agreements, TSAs, LOIs, NDAs, and closing documents.
  • Support product sales, equipment transactions, supply agreements, offtake agreements, power purchase agreements, transportation and pipeline agreements, real estate transactions, and joint ventures.
  • Advise business leaders and senior executives on contract interpretation, operational and strategic risks, compliance, and commercial opportunities.
  • Oversee regulatory filings and compliance, including HSR and antitrust review, and advise on post-closing integration.
  • Manage outside counsel, legal costs, commercial disputes, settlement agreements, and cross-functional collaboration with tax, finance, and legal teams.

Requirements

  • 8+ years of relevant transactional experience in private practice and a corporate legal department.
  • Experience with mergers and acquisitions and antitrust matters.
  • JD degree from an accredited U.S. law school.
  • Admission to at least one U.S. State Bar and eligibility to practice as in-house counsel in Pennsylvania.
  • Business-oriented approach with strong contract drafting, negotiation, counseling, and dispute-resolution skills.
