Counsel, Corporate Joint Ventures

Location: Frisco, Texas, USA; expected to work in the office five days each week, with up to three flexible remote days per month

What you will do

• Support joint ventures through counterparty interactions, entity maintenance, investor actions, and agreement interpretation and negotiation.
• Advise on contractual rights and obligations and draft consents, amendments, transfer documents, and related agreements.
• Support hirify.global OP, LP, including partnership agreement amendments, investor admissions, transfers, redemptions, and the LTIP equity award program.
• Provide legal support for corporate governance, Board matters, governance policies, SEC reporting, and annual proxy statements.
• Assist with capital markets transactions, including debt and equity issuances, ATM programs, revolving credit facilities, and commercial paper programs.
• Support strategic investments, M&A, due diligence, legal research, contract negotiations, and outside counsel management.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in good standing of the California or Texas bar, or eligibility for registered in-house counsel status.
• 3–5 years of experience in general corporate, securities, and/or M&A law, with foundational law firm training.
• Experience with joint ventures, securities, and M&A, plus strong analytical, problem-solving, writing, and communication skills.
• Ability to manage multiple deadlines, work independently and collaboratively, influence stakeholders, and handle confidential information discreetly.
• Proficiency with legal research tools and Microsoft Office Suite.

Nice to have

• Prior in-house legal experience.
• Experience with REITs.
