VP and Deputy General Counsel - Securities

What you will do

• Lead securities law compliance, including Exchange Act and Securities Act filings, stock exchange rules, and disclosure controls.
• Oversee Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and registration statements.
• Advise on capital markets transactions, including surplus notes, debt offerings, equity raises, and reinsurance-related financing structures.
• Partner with regulatory counsel, compliance, investor relations, and finance on insurance reporting, earnings cycles, shareholder engagement, and rating agency matters.
• Support corporate governance, board and committee matters, executive compensation, governance policies, and annual meetings.
• Manage insider trading compliance, employee and director training, outside counsel, and legal resources.

Requirements

• Juris Doctor from an accredited law school and an active law license in good standing.
• 10+ years of securities law experience preferred.
• Deep knowledge of SEC regulations, public company reporting, disclosure control frameworks, and securities transactions.
• Experience with statutory accounting and financial disclosures; familiarity with SAP and GAAP considerations.
• Strong communication skills, business judgment, and the ability to balance risk mitigation with business growth.
• U.S. work authorization for any employer is required.

• Experience working with rating agencies on disclosure and governance matters.
• Previous experience in financial services or insurance.
