Corporate Counsel – Transactions – Business Enablement

Location: On-site at the Bellevue, Washington global headquarters office, USA

Base salary: $100,000 annually, with a target first-year total cash compensation of $250,000 including a $150,000 performance-based bonus. Long-term equity awards may also be available.

What you will do

• Lead global legal support for entity management, including corporate filings, board meetings, dividends, directorship changes, licenses, and approvals.
• Partner with Finance, Product, Treasury, Tax, Risk, Compliance, Cybersecurity, and Global Business Operations teams on legal and governance matters.
• Draft, review, revise, and negotiate commercial agreements supporting global operations.
• Identify legal and commercial risks and develop practical, business-oriented solutions.
• Conduct legal research and create guidance, templates, playbooks, and other resources for business teams.
• Manage outside counsel relationships and contribute to Legal Department process-improvement initiatives.

Requirements

• Juris Doctor, Bachelor of Laws, or equivalent degree.
• Licensed or authorized to practice law in at least one U.S. jurisdiction and in good standing.
• 7+ years of combined legal experience in a law firm, in-house department, government agency, judicial clerkship, or comparable legal environment.
• Experience drafting, reviewing, and negotiating commercial agreements and working directly with business stakeholders.
• Prior experience in at least one of entity management, banking or credit agreements, or dispute and litigation management.
• Experience supporting multinational operations or cross-border legal matters, with strong analytical, drafting, negotiation, communication, organizational, and business judgment skills.

Nice to have

• Process improvement and change management experience in corporate governance or entity management.
• Exposure to M&A, tax structuring, dispute resolution, commercial litigation, or complex in-house governance matters.
• Fluency in one or more foreign languages.
