Senior Corporate Counsel, Procurement (Commercial Procurement Law): Drafting and negotiating vendor, technology, supply chain, software, outsourcing, and service agreements with an accent on procurement risk, compliance, and strategic vendor support. What you will do
- Draft, review, and negotiate vendor, supplier, technology, SaaS, software licensing, outsourcing, hardware, consulting, statement-of-work, purchase order, service-level, and non-disclosure agreements.
- Advise procurement and cross-functional stakeholders on supplier engagements, technology and intellectual property, data privacy, and sensitive information handling.
- Develop procurement policies, vendor onboarding processes, ethical sourcing procedures, contract management processes, and vendor agreement templates.
- Support RFIs, RFPs, competitive bids, vendor strategy, and legal risk identification and mitigation.
- Manage procurement-related disputes, including contract breaches and defective goods or services, and coordinate external counsel.
- Train internal teams, collaborate with finance, operations, engineering, and IT, and manage external counsel when needed.
Requirements
- 5–9 years of legal practice experience, including at least 3 years in procurement, vendor contracts, or supply chain management.
- Experience drafting and negotiating complex commercial and technology-related contracts.
- Juris Doctor degree from an accredited law school and admission to a state bar.
- Strong negotiation, drafting, communication, analytical, problem-solving, and risk management skills.
- Ability to manage multiple projects and meet deadlines in a fast-paced environment.
- Ability to travel up to 10% as needed.
Nice to have
- Experience in a corporate legal department or law firm.
- Experience with international procurement and global vendor agreements.
- Experience managing and directing external counsel.
- Familiarity with data privacy, cybersecurity, intellectual property, and relevant industry standards.
