Counsel - Commercial Transactions (Technology)

Location: St. Louis, Missouri, United States; hybrid with in-office work 3 days per week

Salary: $132,700–$221,100 USD annually, depending on experience and geographic location; eligible for an annual bonus plan.

What you will do

• Draft, review, negotiate, and manage consulting, services, technology, software, SaaS, licensing, data, and vendor agreements.
• Partner with Procurement and business stakeholders to structure transactions and balance legal, regulatory, operational, and business objectives.
• Advise on commercial contracting, risk allocation, compliance, contract governance, and third-party engagement risks.
• Support vendor dispute resolution, enterprise initiatives including mergers and acquisitions, financing transactions, and other strategic projects.
• Develop contract templates, playbooks, negotiation guidance, standard provisions, training, and process improvements.
• Collaborate with Legal, Compliance, Privacy, Information Protection, IT, Procurement, operational teams, global colleagues, and outside counsel.

Requirements

• Juris Doctor degree and an active license in good standing in at least one U.S. jurisdiction.
• 5+ years of experience drafting and negotiating commercial contracts, including vendor, procurement, technology, consulting, and services transactions.
• Experience with technology transactions, intellectual property, privacy considerations, complex commercial arrangements, and legal risk assessment.
• Strong communication, negotiation, presentation, analytical, problem-solving, relationship management, and decision-making skills.
• Ability to work independently, manage multiple priorities, exercise sound judgment, and collaborate across a matrixed organization.
• Ability to work in the St. Louis office 3 days per week in a hybrid arrangement.

Nice to have

• Experience in procurement, sourcing, vendor management, or commercial operations.
• Experience in healthcare, pharmacy, or another highly regulated industry.
