What you will do

• Manage end-to-end early-stage venture financing transactions for emerging companies and venture capital funds.
• Coordinate term sheet negotiations, diligence, signing, and post-closing deliverables with clients and outside counsel.
• Review and negotiate SAFEs, convertible notes, and NVCA-form documents for priced equity rounds.
• Advise on capitalization tables, governance, and corporate matters arising from financing transactions.
• Supervise and mentor paralegals, develop deal playbooks, and support client pitches.
• Partner with the technology team to improve AI-driven legal delivery tools and workflows.

Requirements

• Strong experience in emerging company and venture capital law, including SAFEs, convertible notes, and priced equity rounds.
• Ability to independently manage complex, fast-moving transactions and multiple competing deadlines.
• Experience building relationships with founders, venture funds, and outside counsel.
• Experience supervising paralegals and managing work across multiple simultaneous deals.
• Licensed to practice in California or a comparable jurisdiction.
• 7+ years of relevant experience recommended.
