Senior Counsel, Transactions (Capital Markets) (Crypto)

Location: Remote within the United States of America

Base pay range: $230,000–$297,500 per year

What you will do

• Partner with capital markets business development teams on crypto exchange, digital asset market maker, liquidity provision, and institutional capital markets transactions.
• Structure, draft, and negotiate complex crypto, fintech, and capital markets agreements, including collateral, credit, co-funding, exchange integration, and tokenized collateral arrangements.
• Support Arc's capital markets go-to-market by negotiating agreements with exchanges, liquidity providers, validators, and institutional partners.
• Create contract templates, playbooks, processes, procedures, metrics, and efficient contracting workflows.
• Advise business leaders on contract interpretation and management across deals with exchanges, trading firms, custodians, and institutional counterparties.
• Monitor developments in digital assets, stablecoins, tokenization, blockchain infrastructure, and crypto capital markets.

Requirements

• 10+ years of legal experience in capital markets, crypto, or financial services.
• 3+ years of experience at a top-tier law firm.
• J.D. or foreign equivalent and active membership in at least one U.S. State Bar required.
• Extensive experience drafting and negotiating crypto, fintech, capital markets, exchange, market maker, liquidity provision, collateral, and digital asset agreements.
• Familiarity with derivatives, structured products, collateral management, market infrastructure, and their intersection with digital assets and blockchain ecosystems.
• Ability to manage complex transactions, assess regulatory, tax, and accounting implications, and coordinate cross-functional stakeholders; willingness to join negotiation calls outside standard business hours.

Nice to have

• Knowledge of global digital asset, stablecoin, tokenization, and capital markets regulations.
• Experience with ISDA documentation, master trading agreements, or other capital markets framework agreements.
• Exposure to Monetary Authority of Singapore and Financial Supervisory Service regulations.
• Experience with Slack, Apple macOS, ChatGPT, other AI tools, and GSuite.
