Associate Counsel (SaaS)

Location: Oakland, California, United States; hybrid schedule with in-office work on Monday, Wednesday, and Thursday and work-from-home optional on Tuesday and Friday.

Salary: $148,000–$187,000 per year.

What you will do

• Review, redline, and negotiate SaaS subscription agreements, order forms, NDAs, and statements of work.
• Review and negotiate vendor agreements, software licenses, professional services agreements, and procurement contracts.
• Maintain contract playbooks, fallback positions, and standard form agreements as the business and legal environment evolve.
• Advise Sales and Finance on contract terms affecting revenue recognition, billing structures, and deal velocity.
• Integrate approved AI productivity tools into contract review, issue spotting, drafting, and negotiation preparation.
• Answer day-to-day contract questions and monitor developments in SaaS, AI, data privacy, and cloud technologies.

Requirements

• 1–3 years of commercial contracting experience in-house at a technology company or at a law firm with a SaaS client focus.
• J.D. and active state bar membership.
• Experience negotiating limitations of liability, indemnification, intellectual property rights, and data security terms, as well as NDAs, DPAs, or BAAs.
• Clear, concise drafting and communication skills for legal, business, and technical audiences.
• Process-oriented approach and ability to manage multiple concurrent deal streams under tight timelines.

• Experience with Ironclad or a comparable CLM platform.
• Experience at a B2B SaaS or legal technology company.
