Special Counsel, Transactions (M&A; and Bank Partnerships)

Location: Remote in the United States of America

Base pay range: $200,000–$262,500 annually

What you will do

• Lead mergers, acquisitions, divestitures, asset purchases, and other strategic transactions from structuring and diligence through negotiation, signing, closing, and integration.
• Advise on joint ventures, minority and venture investments, equity-based strategic partnerships, and other non-ordinary-course transactions.
• Structure, draft, and negotiate deposit, custody, safeguarding, account control, cash management, and other agreements with banks and financial institutions supporting reserve, treasury, and payments operations.
• Partner with Corporate Development and Ventures, Treasury, Financial Partnerships, Business Development, Product, Regulatory, Risk, Compliance, Tax, and Corporate Governance stakeholders.
• Develop transaction templates, playbooks, diligence tools, processes, and metrics to improve recurring legal work.
• Design and lead AI-enabled workflows for diligence, contract review, drafting, deal tracking, and adoption across the Transactions team.

Requirements

• J.D. or foreign equivalent and active membership in good standing of at least one U.S. State Bar.
• 7+ years of transactional legal experience at a leading law firm, in-house legal department, or a combination of both.
• Substantial experience with M&A and other corporate transactions, financial services transactions, or both, including transaction structuring, first-turn agreement drafting, negotiations, diligence, and independently driving complex matters through signing and closing.
• Strong working knowledge of corporate and commercial law, sound business judgment, and the ability to coordinate legal, regulatory, tax, accounting, securities, and operational considerations.
• Excellent written and verbal communication, strong ownership and organization, and the ability to manage multiple matters in a fast-moving environment.
• Practical use of generative AI in legal or professional workflows, including validating outputs and protecting privileged, confidential, and material non-public information.
• Passion for hirify.global’s mission and values, financial technology, stablecoins, digital assets, and blockchain technology.

Nice to have

• Experience with banking, deposit, custody, safeguarding, treasury, or other financial services agreements.
• Experience with seller-side technology or financial services transactions involving regulated financial institutions, digital assets, stablecoins, payments, cross-border transactions, or fintech businesses.
• Experience building, implementing, or scaling AI-enabled workflows, prompts, templates, playbooks, or tools for a legal team.
