SVP, Senior Counsel (Registered Funds)

Salary: $265,000–$305,000 per year, plus discretionary bonus

What you will do

• Provide legal support for U.S. registered funds and collective investment trusts under applicable securities laws and SEC regulations.
• Advise on the development, launch, restructuring, operation, and maintenance of mutual funds, ETFs, and closed-end funds.
• Review registration statements, prospectuses, shareholder reports, proxy materials, SEC filings, and other fund disclosures.
• Draft, review, and negotiate distribution, operations, platform onboarding, service provider, intermediary, participation, and ETF authorized participant agreements.
• Prepare Board and committee materials, support trustee and director meetings, and advise on governance matters.
• Monitor regulatory developments, assess legal and regulatory risks, and collaborate with Compliance, Operations, Product Strategy, Funds Business Group, and Global Wealth Management.

Requirements

• Juris Doctor degree from a leading law school with strong academic credentials.
• Approximately 10+ years of relevant experience supporting U.S. registered investment companies.
• Deep expertise in the Investment Company Act of 1940 and significant experience with mutual funds, ETFs, and closed-end funds.
• Experience with fund governance, disclosure, registration statements, prospectuses, shareholder communications, SEC filings, and Board materials.
• Active Bar membership in any U.S. state.
• Strong analytical, communication, stakeholder management, organizational, judgment, and collaboration skills.

Nice to have

• Experience at a top-tier law firm or in-house at a leading asset manager, mutual fund complex, ETF sponsor, or financial institution.
• Experience advising fund Boards and supporting governance processes involving independent trustees or directors.
