TL;DR
Senior Counsel, Corporate (Nuclear Energy): Supporting SEC filings, corporate governance, NYSE compliance, M&A, capital markets transactions, and commercial agreements for an advanced fission company with an accent on public company reporting and strategic transactions. Focus on preparing disclosure materials, driving diligence and deal execution, advising cross-functional teams, and building legal practices for regulated clean-energy projects.

Location: Santa Clara, California, or remote within the United States. Remote employees must travel to the Santa Clara headquarters twice per quarter based on business or team needs, and must work onsite there for the first two weeks of onboarding. Applicants must meet the definition of a U.S. person under applicable U.S. export control laws.

Salary: $200,000–$225,000 per year.

hirify.global develops advanced fast-fission power plants, nuclear fuel recycling technologies, and a domestic supply chain for critical radioisotopes.

What you will do

  • Prepare and review SEC filings, annual and quarterly reports, proxy statements, and Section 16 and Section 13 reports.
  • Support M&A, capital markets, financing, and other strategic transactions through diligence, document review, and deal execution.
  • Handle corporate governance matters, including subsidiary management, board and committee resolutions, minutes, and annual meeting preparation.
  • Support compliance with NYSE listing standards and public company governance requirements.
  • Draft, review, and negotiate commercial, vendor, partnership, license, and strategic transaction agreements.
  • Provide practical legal research and advice while helping mature routine corporate, disclosure, compliance, and operational legal practices.

Requirements

  • J.D. from an ABA-accredited law school and admission to practice law in at least one U.S. state.
  • 3–5 years of corporate, securities, or transactional experience at a large law firm or in-house legal department.
  • Experience supporting a public company with SEC filings, proxy preparation, and board and committee governance matters.
  • Experience with NYSE listing standards, public company compliance, strategic transactions, M&A diligence, capital markets, or financing.
  • Experience supporting companies that build complex, highly regulated products or infrastructure.
  • Strong attention to detail and ability to prioritize multiple matters in a fast-paced environment.

Nice to have

  • In-house experience at a high-growth or startup company.
  • Experience with complex construction or development projects, joint ventures, project finance, real estate transactions, or environmental matters.
  • Experience in nuclear, energy, infrastructure, or another highly regulated industry.
