Associate Corporate Attorney (Semiconductor)

What you will do

• Draft, review, and negotiate commercial agreements, including equipment sales and services, supplier and purchase agreements, NDAs, and routine commercial arrangements.
• Assess contract risks and negotiate indemnities, liability limits, warranties, confidentiality, intellectual property ownership, and data-security provisions.
• Support contract disputes, pre-litigation assessments, and resolution strategies with senior attorneys and business stakeholders.
• Maintain and improve contract templates, playbooks, negotiation guidelines, and contract lifecycle management processes.
• Advise manufacturing and operations teams on supplier, service, maintenance, tooling, equipment, and plant-related agreements.
• Coordinate with Ethics & Compliance, Privacy, and Litigation teams and deliver legal training to internal business units.

Requirements

• J.D. degree and an active license to practice law in at least one U.S. jurisdiction.
• 3–5 years of relevant commercial contracting experience in-house or at a law firm.
• Experience drafting and negotiating commercial agreements and advising business partners on contract terms and risk tradeoffs.
• Strong knowledge of contract law, intellectual property ownership, indemnities, limitation of liability, and risk allocation.
• Excellent negotiation, communication, and stakeholder management skills.
• Ability to travel up to 10–15%.

• Experience in technology, semiconductor, manufacturing, or advanced manufacturing environments.
• Experience supporting manufacturing and operations stakeholders, including domestic and international work.
• Experience with contract disputes or pre-litigation assessments.
• Familiarity with CLM systems and contract process optimization.
