Sr Legal Counsel Corporate

Location: Headquarters - Katy, Texas; regular in-office attendance required

What you will do

• Provide strategic legal guidance on corporate governance, securities law, SEC reporting, regulatory compliance, and corporate transactions.
• Support the Board of Directors, Board committees, executive leadership, and public company reporting and disclosure activities.
• Advise on securities law, investor relations, disclosure controls, financial reporting, subsidiary management, and governance practices.
• Partner with Finance, Accounting, Tax, Treasury, Internal Audit, Investor Relations, Compensation, Information Technology, and Cybersecurity teams.
• Support financing activities, capital markets transactions, due diligence, governance reviews, and related disclosure requirements.
• Monitor developments in governance, cybersecurity, artificial intelligence, and emerging technologies while using legal technology and AI-enabled tools for research, review, drafting, and benchmarking.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in good standing with at least one State Bar.
• 5+ years of experience in corporate law, securities law, capital markets, public company governance, or a related practice area.
• Experience supporting public company reporting, corporate governance, and Board-related matters.
• Experience advising senior executives, Boards of Directors, and cross-functional business partners.
• Ability to work regular in-office hours at the Katy, Texas headquarters.
