Sr. Corporate Counsel (Corporate & Securities)

Location: Fully remote, US-based

Salary: $215,000–$253,000 base pay

What you will do

• Own SEC reporting, including Forms 10-K, 10-Q, and 8-K, as well as annual proxy statements and related materials.
• Manage annual stockholder meetings, Section 16 compliance, Rule 10b5-1 plans, insider-trading policies, and equity-related matters.
• Develop corporate governance policies and advise the Board of Directors, committees, and stockholders.
• Manage domestic and international entity governance, subsidiary and branch establishment, and ongoing corporate maintenance.
• Oversee legal work for M&A, corporate finance, debt financings, credit facilities, equipment leases, sale-leasebacks, and vendor financing.
• Monitor securities and governance developments, apply AI tools to legal workflows, and collaborate with Finance, Accounting, Privacy, Compliance, Sales & Marketing, leadership, and outside counsel.

Requirements

• J.D. degree and active U.S. bar membership in good standing.
• 10 or more years of relevant legal experience, including substantial public-company securities and corporate governance experience.
• Deep knowledge of federal securities laws, Regulation FD, and applicable Nasdaq listing standards.
• Experience preparing SEC filings and proxy statements, managing annual stockholder meetings, and advising Boards and committees.
• Experience with M&A, corporate finance, entity management, and strategic transactions.
• Strong communication, judgment, attention to detail, and comfort using or developing fluency with AI tools for legal and governance work.
