Senior Commercial Counsel (AI)

Location: Hybrid in New York City or Austin, Texas

What you will do

• Draft, review, and negotiate commercial agreements for sales, partnerships, and vendor purchases, including service agreements, software licenses, data processing agreements, and NDAs.
• Advise Sales, Marketing, Finance, Business Operations, and go-to-market teams on intellectual property, data privacy, data security, software licensing, and go-to-market matters.
• Develop processes, policies, and legal playbooks that improve organizational efficiency.
• Monitor legal and regulatory developments across commercial, open-source, IP, privacy, employment, and AI law.
• Build company knowledge in intellectual property, data protection, financial services, healthcare, AI governance, and other regulatory areas.
• Provide independent, practical guidance that balances business objectives with legal risk.

Requirements

• Law degree from an accredited U.S. institution and qualification to practice as an in-house U.S. attorney.
• 6+ years of post-qualification experience with commercial transactions, including SaaS, IP and software licensing, resale, distribution, outsourcing, and vendor agreements.
• In-house legal experience in the technology sector; AI company experience is advantageous.
• Experience negotiating data processing agreements and working knowledge of GDPR and CCPA in commercial contracts.
• Experience negotiating with enterprise customers, including on customer-provided contract forms.
• Knowledge of cloud services, professional services contracts, sales operations, revenue recognition, Order Forms, Statements of Work, and AI terms involving models, IP ownership, and training data.
