Director, Legal Counsel, Corporate & Securities

Salary: $215,000–$255,000 annually plus bonus; restricted stock units included

What you will do

• Lead preparation of materials for the Board of Directors and its committees, including agendas, presentations, minutes, and resolutions.
• Manage stockholder consents and notices, annual meetings, proxy logistics, voting analysis, and related governance documentation.
• Develop and review securities disclosures, investor reporting, disclosure controls, and information governance processes.
• Advise on insider trading policies, equity transaction reporting, and securities law compliance.
• Provide cross-coverage for equity and debt capital markets transactions, including diligence, disclosure schedules, KYC requests, closings, and post-closing compliance.
• Advise Finance, Accounting, Investor Relations, HR, and other stakeholders on practical corporate and securities matters.

Requirements

• Juris Doctor degree from an accredited law school and active membership in good standing in at least one U.S. state bar.
• 4–7 years of corporate and securities experience at a top-tier law firm.
• Deep expertise in board and stockholder governance, securities disclosure obligations, and insider trading compliance.
• Working knowledge of capital markets transactions, including Rule 144A and private placements.
• Strong analytical, problem-solving, communication, and business judgment skills.
• Ability to handle confidential information professionally and manage multiple projects in a fast-paced environment.

Nice to have

• In-house experience at a technology or high-growth company.
• Proficiency with Google Workspace, Microsoft Office, and AI tools such as Claude and Gemini.
