Legal Counsel - Corporate

Location: New York, NY, US; on-site

Salary: $240,000–$285,000 per year plus bonus; restricted stock units included in all offers.

What you will do

• Execute corporate financing, capital markets, and strategic transactions, including revolving credit facilities, asset-backed term loans, and structured finance.
• Draft, structure, review, and negotiate term sheets, credit agreements, purchase agreements, guarantees, security packages, and related transaction documents.
• Support finance due diligence and manage document flow and closing logistics across internal teams and outside counsel.
• Support ongoing covenant compliance, entity formations, intercompany transactions, and related corporate functions.
• Maintain deal files and develop standardized templates to improve transaction efficiency and consistency.
• Advise Finance, Corporate Development, Cloud Sales, Digital Infrastructure, and Commercial stakeholders, presenting complex legal concepts clearly.

Requirements

• Juris Doctor (J.D.) from an accredited law school and active bar admission in any U.S. state.
• 7–10 years of transactional legal experience, including significant experience with complex corporate and finance transactions at a top-tier law firm or in-house legal department.
• Expertise in drafting, structuring, and negotiating loan or other financing documentation.
• Strong business judgment, corporate governance knowledge, and the ability to balance legal risks with commercial objectives.
• Ability to manage multiple high-stakes workstreams in a fast-paced environment and handle sensitive, confidential information professionally.
• Proficiency with Google Workspace, Microsoft Office, and AI tools.

Nice to have

• Experience at a startup, AI company, digital infrastructure company, or high-growth venture business.
• Knowledge of real estate transactions, construction finance, or project development.
• Experience working with investment banks, capital markets desks, institutional lenders, or investors.
