Legal Counsel – Finance and Corporate Development

Location: San Francisco, CA, United States; on-site

Salary: $240,000–$285,000 per year plus bonus; restricted stock units included.

What you will do

• Execute corporate financing and capital markets transactions, including revolving credit facilities, asset-backed term loans, and structured finance deals from term sheet through closing.
• Draft, structure, review, and negotiate credit agreements, parent guarantees, security packages, term sheets, and related transaction documents.
• Advise Finance and Corporate Development stakeholders on contract terms, legal and business risks, deal structures, and strategic transactions.
• Coordinate due diligence, document flow, outside counsel, internal teams, and closing logistics.
• Support ongoing covenant compliance, entity formations, intercompany transactions, and corporate operations.
• Maintain deal files, develop standardized templates, and communicate complex legal concepts to legal and non-legal stakeholders.

Requirements

• Juris Doctor degree from an accredited law school and active bar admission in any US state.
• 7–10 years of transactional legal experience in complex corporate and finance transactions at a top-tier law firm or in-house legal department.
• Expertise in drafting, structuring, and negotiating loan or other financing documentation.
• Strong business judgment, corporate governance knowledge, attention to detail, and ability to manage multiple high-stakes workstreams.
• Proficiency with Google Workspace, Microsoft Office, and AI tools.
• Participation in a drug and alcohol program is required because the position is safety-sensitive and/or located in a safety-sensitive facility.

Nice to have

• Experience at a startup, AI company, digital infrastructure company, or high-growth venture business.
• Understanding of real estate transactions, construction finance, and project development.
• Experience working with investment banks, capital markets desks, institutional lenders, or investors.
