What you will do

  • Advise executive leadership and the Board of Directors on corporate governance, securities law compliance, public company reporting, and disclosure obligations.
  • Lead Board and Board Committee meeting preparation, including agendas, governance materials, and minutes.
  • Review and oversee SEC filings, including Forms 10-K, 10-Q, and 8-K, registration statements, prospectuses, investor materials, and earnings communications.
  • Manage Section 16 compliance and the annual proxy statement process.
  • Advise on mergers, acquisitions, divestitures, capital markets transactions, financing arrangements, and related corporate activities.
  • Lead legal due diligence, transaction execution, post-closing integration, subsidiary governance, and indemnification matters.

Requirements

  • Juris Doctor degree from an accredited law school with a strong academic record.
  • 10–15 years of experience in securities law, corporate governance, and corporate transactions.
  • Extensive experience advising boards of directors and executive leadership teams.
  • Deep knowledge of federal securities laws and SEC regulations, including Regulation S-K, Regulation S-X, Regulation FD, Regulation G, and Securities Act and Exchange Act reporting requirements.
  • Demonstrated experience with public company disclosures, SEC reporting, M&A, capital markets transactions, and financing arrangements.
  • Strong business and financial acumen, communication skills, stakeholder management, judgment, and ability to manage complex priorities.
