TL;DR
Director, Sr. Business and Technology Transactions Counsel (Semiconductor): Advising business stakeholders and negotiating IP licensing, joint development, collaboration, qualification, acquisition, and divestiture agreements with an accent on patent licensing, technology rights, and complex commercial transactions. Focus on leading negotiations, mitigating contractual and regulatory risks, managing outside counsel, and improving legal service processes and technology.

Location: Santa Clara, CA, United States

Salary: $212,000–$291,500 per year

What you will do

  • Provide business and legal advice to executives, product and development teams, sales stakeholders, customers, and external collaborators.
  • Frame, review, draft, and negotiate IP licensing, joint development, collaboration, product qualification, and other complex commercial agreements.
  • Support IP acquisitions and divestitures, royalty-bearing agreements, and strategic growth initiatives.
  • Assess and mitigate contractual, compliance, regulatory, indemnification, and liability risks.
  • Partner with the Legal and Compliance Organization to deliver comprehensive legal support.
  • Manage outside counsel work quality and budgets, and contribute to legal process and technology improvement projects.

Requirements

  • Juris Doctorate from an accredited law school.
  • 10+ years of relevant legal experience focused on IP and patent licensing, joint development agreements, IP purchases and sales, royalty-bearing agreements, and complex transactions.
  • Deep understanding of contract terms governing the creation and allocation of technology and IP rights.
  • Excellent negotiation, written communication, verbal communication, and legal and business judgment skills.
  • Licensed to practice law in California.
  • Ability to collaborate across organizational boundaries and with colleagues in multiple countries; occasional travel is required.

Nice to have

  • Experience in both a law firm and an in-house corporate legal department.
  • Engineering or hard-science degree, and/or experience in the engineering or semiconductor industry.
  • Registration as a US patent attorney.
  • Experience translating business needs into contract language and creatively resolving business issues.
