Senior Legal Counsel

What you will do

• Lead Japan-focused third-party allotments, PIPEs, and other equity-linked transactions across Japan and APAC.
• Structure, diligence, negotiate, and execute term sheets, subscription and placement documents, warrants, convertible bonds, and related transaction materials.
• Build and enforce workflows for wall-crossing, NDAs, deal confirmations, information controls, and risk management.
• Drive Japan entity formation and governance, including scalable regulatory, tax, employment, and compliance policies.
• Manage external counsel, coordinate dispute and enforcement strategies, and maintain relationships with issuers, banks, and law firms.
• Collaborate with global legal teams on policies, precedents, local-law requirements, and execution efficiency.

Requirements

• Japan-qualified lawyer ( ) with 7–12 years of experience at a top law firm or sophisticated in-house platform.
• Public-company financing experience in Japan, including direct experience with third-party allotments and PIPE transactions.
• Japanese drafting and negotiation experience, together with review and negotiation experience in English.
• Practical knowledge of disclosure and insider-trading rules and market practice for convertible bonds, warrants, and rights issues.
• Experience with Japan entity setups, policy frameworks, external counsel management, and APAC or U.S. capital markets.
• Ability to communicate complex legal concepts to non-lawyers and manage multiple matters under time pressure.
