Director Legal Counsel - Exchange Traded Products and Derivatives

Location: Hybrid role based in Westlake, Texas, or Washington, D.C., United States

Salary: USD $167,400–$300,000 per year, plus bonus or incentive opportunities.

What you will do

• Provide legal support for exchange traded products managed or sponsored by CSIM, including products investing in cryptocurrencies, commodities, futures, and other asset classes.
• Support product strategy, development, initial offerings, ongoing maintenance, and preparation and filing of prospectuses and offering memoranda.
• Advise on legal and regulatory requirements for publicly listed ETPs and private funds.
• Draft and negotiate agreements with third-party service providers and distribution platforms.
• Support annual, quarterly, and current reports, marketing disclosures, policies, and procedures.
• Monitor regulatory developments and advise senior leadership and business teams on their impact; coordinate with outside counsel and compliance colleagues.

Requirements

• Juris Doctor from a top-tier law school or an equivalent top degree, with active membership in a state bar.
• 5–10 years of legal experience in a large broker-dealer or asset management firm; relevant law firm or practical business experience may substitute for in-house experience.
• Experience with the organization and distribution of registered funds and private funds, including transactional, regulatory, and compliance aspects of derivatives.
• Familiarity with the Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and the Commodity Exchange Act.
• Strong drafting, contract analysis, negotiation, communication, prioritization, and organizational skills.
• Ability to work independently, manage multiple projects, and present to senior leaders and key partners.
