Director & Senior Counsel, M&A and Strategic Investments

Location: Santa Clara, California, United States. Relocation eligible; travel required approximately 10% of the time.

Salary: $212,000–$291,500 per year, plus potential bonus and stock awards.

What you will do

• Coordinate internal and external counsel during M&A due diligence reviews.
• Perform due diligence on potential acquisition targets and present findings.
• Provide legal analysis and advice on transaction structures.
• Draft and negotiate transaction documents and advise on divestitures.
• Lead deal-team integration activities and coordinate law department integration teams.
• Develop and improve playbooks, processes, and training programs.

Requirements

• J.D. from an accredited law school is required.
• Active license to practice law in at least one U.S. jurisdiction is required.
• Broad, comprehensive expertise and recognized external-level authority in the legal field.
• Experience leading highly visible multidisciplinary initiatives and providing thought leadership.
• Ability to solve complex problems, influence senior stakeholders, and negotiate with management, customers, regulators, or vendors.
