Associate General Counsel, Corporate (Fintech)

Location: Remote, United States, with periodic required travel for team gatherings and business needs.

Annual full-time starting base salary: $178,000–$225,000, plus eligibility for annual incentive and equity programs.

What you will do

• Lead legal work for ABS transactions, debt and structured debt deals, and M&A transactions.
• Draft, review, and negotiate transaction documents, credit facilities, and contracts with banks, service providers, and technology vendors.
• Support IPO readiness by building processes for current and future SEC reporting obligations.
• Manage outside counsel on Capital Markets and Finance matters.
• Monitor legal and market developments and advise stakeholders on potential business impact.
• Support corporate governance activities, including board and committee preparation and corporate resolutions.

Requirements

• JD from an accredited law school and active membership in good standing in at least one U.S. state bar.
• 5+ years of relevant law firm experience or 7+ years of relevant in-house or combined legal experience.
• Hands-on experience drafting, reviewing, and negotiating complex corporate agreements.
• Experience supporting SEC reporting obligations, including 10-K, 10-Q, 8-K, and proxy statements.
• Strong analytical, writing, communication, organizational, and project management skills.
• Ability to work remotely from the United States and travel periodically for team gatherings and business needs.

Nice to have

• Structured finance experience beyond ABS, including warehouse lending, whole loan sales, or forward flow arrangements.
• Familiarity with consumer financial products and related regulations.
• In-house experience at a late-stage private company, including investor relations or pre-IPO readiness.
