What you will do

• Independently draft, review, and negotiate a full portfolio of commercial agreements, including SaaS agreements and MSAs.
• Manage corporate maintenance, minute books, and day-to-day corporate law matters.
• Provide expert legal counsel on governance, compliance, employment, and commercial issues.
• Monitor regulatory shifts in financial and technology law to ensure proactive compliance.
• Manage external counsel relationships for specialized matters like M&A or complex litigation.
• Support high-stakes corporate transactions, including fundraising rounds and strategic initiatives.

Requirements

• Law degree from a Canadian law school and member in good standing with the Law Society of Ontario.
• Licensed to practice law in Ontario.
• 7+ years of relevant legal experience at a top-tier law firm or in-house at a SaaS/FinTech company.
• Proven track record independently negotiating and closing enterprise SaaS agreements and MSAs.
• Strong understanding of Consumer Protection, Privacy (PIPEDA), and Intellectual Property law.
• Ability to operate autonomously as a team of one in a fast-paced environment.
