What you will do

• Lead the drafting, negotiation, and execution of term sheets and definitive agreements for EMEA and APAC jurisdictions.
• Manage the live deal pipeline for the Omni cloud-as-a-service delivery model, identifying jurisdictional risks.
• Draft and close MSAs, order forms, partnership agreements, and vendor agreements.
• Advise business leaders on transaction structures and operating models for new market entries.
• Develop and maintain legal playbooks and templates to scale repeatable deal execution.
• Coordinate with outside counsel on jurisdiction-specific issues and sovereign counterparties.

Requirements

• J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
• 8+ years of experience in a law firm or a fast-paced technology company.
• Substantial experience in Cloud, AI, SaaS, IaaS, and PaaS contracting.
• Proven track record with complex, high-value cross-border transactions outside the US.
• Must meet U.S. export control requirements (U.S. citizen, lawful permanent resident, refugee, or asylee).
