What you will do

• Lead compensation and equity-related workstreams for M&A transactions, including due diligence and post-closing arrangements.
• Advise on compensation disclosures, proxy statement filings, and annual stockholder meetings.
• Manage equity plan maintenance, international expansion legal support, and performance award agreements.
• Oversee Form S-8 registration statements and insider trading compliance, including Rule 10b5-1 plans.
• Serve as the primary legal point of contact for the stock administration function.
• Collaborate with HR and employment legal teams to drive alignment on complex corporate governance matters.

Requirements

• J.D. and active bar admission required.
• 7-10 years of relevant experience at a top-tier law firm or in-house at a public company.
• Deep technical expertise in executive compensation, global equity programs, and associated M&A workstreams.
• Meaningful experience with complex cross-border M&A transactions.
• Must be based in the USA.
• Proven ability to utilize AI technologies to streamline legal workflows and improve business outcomes.

Nice to have

• Familiarity with Hart-Scott-Rodino (HSR) Act filings.
