What you will do

• Draft legal documents, including shareholder/member resolutions, written consents, and basic organizational documents.
• Perform legal research and review corporate organizational documents.
• Manage entity management and statutory filings for all subsidiaries across various jurisdictions.
• Maintain and update corporate minute books, databases, and vital record storage.
• Support special projects, including due diligence responses and the coordination of financing transactions.
• Provide general paralegal support, including notary duties and regulatory filings.

Requirements

• Must be based in or able to work in Dayton, OH.
• Associate Degree in Paralegal studies (Bachelor's preferred).
• Obtain and maintain notary designation and paralegal certification.
• 3–6 years of experience in a paralegal or corporate governance role.
• Proficiency in drafting legal documents and document production.
• Strong organizational skills and the ability to prioritize multiple tasks under tight deadlines.
